This Branding Design Agreement outlines the terms and details for the services provided by CEO SOVEREIGN HQ LTD (“Designer”) to [Client’s Name] (“Client”).

1. Scope of Work

We provide branding services as outlined in the project proposal or order confirmation. The scope of work includes creating, designing, and delivering comprehensive branding materials tailored to the Client's requirements, ensuring a cohesive and professional brand identity. Details of the project will be further outlined in a tailored brief.

2. Payment Terms

  • 2.1. Payments must be made as follows:

    • A non-refundable deposit of 75% before work begins OR full payment.
    • The remaining balance is payable within 2 weeks and prior to delivery of the final website.

    2.2. All payments are non-refundable once made.

    2.3. Invoices must be paid within 3 days. Late payments will incur a £2 PER DAY late fee.

3. Timeline

  • We will deliver the project within the agreed timeline, provided that all required materials and feedback are received from the Client on time. Delays caused by the Client may result in adjustments to the project timeline.

4. Revisions

  • The Client is entitled to three (3) rounds of revisions per deliverable.
  • Additional revisions will incur extra charges of £50 per day.

6. Client Responsibilities

The Client agrees to:

  • Provide the questionnaire given to fill out in a timely manner 
  • Respond promptly to communication from the Designer to ensure smooth project progress.

Failure to fulfill these responsibilities may result in delays or additional charges.

5. Ownership & Usage

  • Upon full payment, the Client receives full ownership rights to the final designs.
  • Preliminary concepts and unused drafts remain the property of the Designer.

7. Cancellation Policy

  • 7.1. Either party may terminate the project with written notice.
    7.2. In the event of termination:

    • Payments made to date are non-refundable.
    • The Client is responsible for any outstanding balance for work completed up to the termination date.

    Non-Acceptable Reasons for Termination:

    Termination will not be accepted for the following reasons:

    • Change of mind about the project.
    • Lack of internal budget approval or financial constraints.
    • Delays caused by the Client in providing required materials, content, or feedback.
    • Changes in business strategy or personal disagreements unrelated to the project.

    If the project is terminated for any of these reasons, the Client remains responsible for full payment.

8. Communication

  • All project-related communication will occur via email, client portal, or WhatsApp to ensure smooth and efficient collaboration.

9. Limitation of Liability

We are not liable for delays, data loss, or issues caused by third-party software, hosting providers, or factors outside our control.
